Effective Date: August 27, 2026. By accessing or using Stockhelm, you agree to be bound by these Terms. If you do not agree, you must not board.

1. Welcome Aboard

Stockhelm ("we," "us," or "our") operates the website located at stockhelm.io (the "Site"). These Terms of Service ("Terms") govern your access to and use of the Site, including all content, tools, calculators, educational materials, community features, and services offered (collectively, the "Services").

By accessing or using the Services, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity.

2. What Stockhelm Is — And Is Not

Stockhelm is an educational platform and simulation environment. We do not execute trades, manage assets, or provide personalized investment advice.

Stockhelm is:

  • A library of educational content about trading methodologies, risk management, and market analysis.
  • A collection of calculators and planning tools for hypothetical trade scenarios.
  • A community space for traders to share ideas and experiences.
  • A portfolio simulation environment for tracking hypothetical positions.

Stockhelm is not:

  • A broker-dealer, investment adviser, or financial institution.
  • A platform for executing real securities transactions.
  • A source of personalized investment recommendations tailored to your financial situation.
  • A guarantee of trading profits or risk-free returns.

3. Account Registration & Security

To access certain features, you may need to create an account ("Captain's Cabin"). You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your password and account credentials.
  • Notify us immediately of any unauthorized access or security breach.
  • Accept full responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or harmful behavior.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or securities rule.
  • Transmit malware, viruses, or any code designed to disrupt the Services.
  • Scrape, crawl, or systematically extract data from the Site without written permission.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Post content that is defamatory, obscene, threatening, or infringing on intellectual property rights.
  • Manipulate or attempt to manipulate market prices through the community features.
  • Use the Services to coordinate pump-and-dump schemes or other market manipulation.

5. Intellectual Property

All content on the Site—including text, graphics, logos, calculators, guides, and software—is the property of Stockhelm or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may:

  • View, download, and print content for personal, non-commercial use.
  • Share links to our content on social media or other platforms.

You may not:

  • Reproduce, distribute, or create derivative works from our content without written permission.
  • Remove copyright notices or proprietary legends from any materials.
  • Use our trademarks without authorization.

6. User-Generated Content

The Mess Deck and other community features allow users to post content ("User Content"). By posting User Content, you:

  • Grant Stockhelm a non-exclusive, royalty-free, perpetual license to use, display, and distribute your content.
  • Represent that you own or have the right to post the content.
  • Agree that your content does not violate the rights of any third party.

We reserve the right to remove User Content that violates these Terms or that we deem harmful to the community, without notice.

7. Third-Party Links & Data

The Site may contain links to third-party websites or display market data sourced from third-party providers. We do not control and are not responsible for the content, accuracy, or practices of any third-party sites or data feeds.

Market data displayed on Stockhelm is delayed and for informational purposes only. You should verify all prices and data through your broker before making any trading decisions.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR DATA.
  • UNINTERRUPTED OR ERROR-FREE OPERATION OF THE SERVICES.
  • THAT ANY PARTICULAR TRADING STRATEGY OR METHOD WILL BE PROFITABLE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STOCKHELM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or goodwill.
  • Trading losses or investment losses of any kind.
  • Damages arising from reliance on any content, calculator, or tool provided on the Site.

Our total liability to you for any claim arising from or relating to these Terms or the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Stockhelm and its affiliates from any claims, damages, liabilities, costs, or expenses arising from your use of the Services, your User Content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services immediately ceases.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute shall first be addressed through good-faith negotiation. If unresolved, disputes shall be settled by binding arbitration.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Site. Your continued use constitutes acceptance of the revised Terms.
